Kunobi End User License Agreement

Provider: Zondax AG, Dammstrasse 16, 6300 Zug, Switzerland (operating under the Kunobi brand, "we", or "us")

1. Introduction

This End User License Agreement ("Agreement") governs your use of the Kunobi desktop software ("Software"), a product developed and owned by Zondax AG (Zug, Switzerland) and marketed under the Kunobi brand.

The Software includes related documentation, executable files, updates, and builds provided under this Agreement, across all release streams (stable, unstable, dev, or any other channel we may offer).

You accept this Agreement by checking the acceptance box when you first run the Software, or otherwise by installing or using the Software. If you do not agree, do not use the Software.

This license does not transfer any ownership or intellectual property rights in the Software.

"You" or "your" refers to the individual or legal entity (including corporations, partnerships, or other organizations) accessing or using the Software. If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

2. License Grant

Zondax AG grants you a limited, non-exclusive, non-transferable license (revocable as provided in Section 11) to install and use the Software for your internal business or personal purposes, subject to this Agreement and, where applicable, the plan or subscription you have purchased. If you are an organization, your employees and contractors may use the Software on your behalf under this license, subject to the limits of your plan.

You may not:

Reverse-engineer, decompile, or modify the Software, except to the extent such restriction is prohibited by applicable law.
Rent, resell, sublicense, or distribute the Software to third parties.
Remove or alter any proprietary notices in the Software.

3. Pre-Release Builds

Some builds of the Software are pre-release builds: builds delivered through a non-stable release stream (such as the unstable or dev channels) or any build that identifies itself as beta, preview, or pre-release. Pre-release status is shown in the application (for example in the About window and the application title).

If and only if you are using a pre-release build, the following additional terms apply:

The build is provided for testing and evaluation. It may contain bugs, defects, or incomplete features, may fail to operate correctly, and may cause system instability.
It is not intended for production or mission-critical Kubernetes clusters. You may nevertheless choose to use it in such environments, but you do so entirely at your own risk, and no support commitments or service levels apply to such use.
Features may be modified, replaced, or discontinued at any time without notice.
Zondax AG's liability for issues, damages, or losses resulting from the use of pre-release builds is limited as set out in Section 9, and pre-release builds carry the inherent risks described above.

Builds delivered through the stable release stream that do not identify themselves as pre-release are not subject to this Section 3.

4. Feedback

By submitting feedback, you grant Zondax AG a perpetual, worldwide, royalty-free, and irrevocable license to use, reproduce, modify, and incorporate that feedback into Kunobi or other products and services, without any obligation or compensation to you.

Feedback can be submitted via email to feedback@kunobi.ch or through the channels offered in the Software.

5. Support

Unless otherwise agreed in a separate written agreement or included in a purchased plan, Zondax AG has no obligation to provide maintenance, technical support, or updates for the Software. Any updates or fixes are offered at Zondax AG's sole discretion. No support, service levels, or update commitments apply to pre-release builds (Section 3).

6. Data and Privacy

The Software sends no diagnostics or telemetry by default. Like any updatable software, it makes routine operational requests (such as update and download checks carrying the app version and platform), as described in the Kunobi App Privacy Policy.

Optional diagnostics are collected only if you enable them, and crash reports are transmitted only with your separate, per-report consent — both as described in the Kunobi App Privacy Policy, available at https://kunobi.com/privacy/desktop. That page always presents the currently effective version of the policy; each version also remains permanently available at its own versioned address.

The Software does not upload your cluster credentials, manifests, or cluster contents to Zondax AG. A crash report that you individually consent to send may incidentally contain names from your environment embedded in an error message, as described in the Privacy Policy.

7. AI-Assisted Features

The Software can optionally integrate with AI assistants (such as AI command-line tools) that you install and operate under your own account with the relevant AI provider. If you connect such an assistant:

The assistant may read information from your environment (including cluster information) through the Software's local interface, and that content is transmitted to your AI provider under your agreement with that provider — not by Zondax AG and not to Zondax AG.
Write operations by assistants are disabled by default and individually gated.
AI-generated responses are provided "as is" and may be inaccurate, incomplete, or unsuitable for your use case; you are responsible for reviewing and validating them before use.

You control which assistants are connected and can disconnect them at any time.

The Software may also offer built-in AI features. Any such feature that transmits your content to an AI service provider is optional and disabled until you enable it, as described in the Privacy Policy.

8. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

ZONDAX AG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nothing in this Agreement excludes or limits warranties or rights that cannot be excluded or limited under applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONDAX AG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR CLUSTER AVAILABILITY, ARISING FROM OR RELATING TO USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law (including liability for intent or gross negligence under Swiss law).

10. Indemnification

You agree to indemnify and hold harmless Zondax AG, its officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) to the extent caused by:

Your material violation of this Agreement;
Your violation of applicable law or of third-party rights;
Your unauthorized or unlawful use of the Software.

This Section does not apply to the extent a claim results from Zondax AG's own fault, and applies to consumers only to the extent permitted by applicable law.

11. Termination

This Agreement remains in effect until terminated. You may terminate it at any time by uninstalling and ceasing all use of the Software.

Zondax AG may terminate this license upon written notice if you materially breach this Agreement or if termination is required for legal or security reasons, and with reasonable prior notice if Zondax AG discontinues the Software. Zondax AG may discontinue the Software, related services, updates, or support at any time; for paid plans, the terms of your subscription (including any refund rights) govern the consequences. Upon termination with written notice, you agree to stop using and, if requested, remove the Software from your systems.

Sections 4, 8, 9, 10, 15, and 16 survive termination.

Nothing in this Agreement grants Zondax AG the ability to disable or remotely control the Software on your device.

12. Assignment

You may not assign, transfer, or sublicense this Agreement or any rights granted hereunder without the prior written consent of Zondax AG. Zondax AG may assign this Agreement, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided the assignment does not reduce your rights under this Agreement or applicable law.

13. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

14. Changes to This Agreement

We may update this Agreement from time to time.

Where to find the current version. The current version of this Agreement is always available at https://kunobi.com/eula, together with its version number and effective date. Each published version also remains permanently available at its own versioned address. We encourage you to review this Agreement periodically.

Non-material changes (such as clarifications, corrections, or changes that do not reduce your rights) are effective when posted.

Material changes (such as changes to the license scope, liability, termination, or dispute resolution) take effect prospectively on the stated effective date, which will be after we have provided reasonable notice through the Software and/or by email where we have an address for you. The notice will identify the change and the reasons for it. Your continued use of the Software after the effective date of a material change constitutes acceptance of the updated Agreement. If you do not agree to an updated Agreement, you must stop using the Software and may terminate under Section 11; for paid plans, the terms of your subscription (including any refund rights) apply.

Nothing in this Section affects mandatory rights you may have under applicable law.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland. Mandatory consumer protections and venues that apply to you by law remain unaffected.

16. Entire Agreement

This Agreement constitutes the entire understanding between you and Zondax AG regarding the Kunobi Software and, upon your acceptance of it, supersedes any prior agreements or communications relating to its subject matter, including the Kunobi Pre-Release License Agreement previously published at kunobi.com/eula/prerelease. If you have a separate written agreement with Zondax AG (for example an enterprise subscription agreement), that agreement prevails over this one to the extent of any conflict.

By checking the acceptance box, or otherwise by installing or using the Software, you confirm that you have read, understood, and agreed to the terms of this End User License Agreement.
